These Terms of Use (“Terms”) govern your access to and use of copergrine.com and any subpages that link to these Terms (the “Site”). The Site is operated by Copergrine LLC, a Texas limited liability company with its principal place of business at 13100 Wortham Center Dr, 3rd Floor, Houston, TX 77065. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
You represent that you are at least 18 years of age, or that you are accessing the Site under the supervision of a parent or legal guardian who agrees to these Terms on your behalf.
2. No Medical Advice; No Provider-Patient Relationship
The Site is an informational and marketing property. It is not a substitute for professional medical advice, diagnosis, or treatment. Information on the Site, including information about services, conditions, and providers, is for general informational purposes only. Browsing the Site does not create a physician-patient, clinician-patient, or any other professional-patient relationship between you and Copergrine, its affiliated clinic, or any clinician.A provider-patient relationship is established only when you are formally registered as a patient, complete required intake, and receive clinical services through Copergrine Health & Wellness or our affiliated telehealth platform, consistent with Texas Occupations Code Chapter 111.
Always seek the advice of a qualified health care provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of something you have read on the Site.
3. Emergency Notice
IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 IMMEDIATELY OR GO TO THE NEAREST EMERGENCY ROOM.
Do not use the Site, the contact form, email, or any messaging feature to seek help for an urgent or emergent medical condition. The Site is not monitored in real time, and Copergrine cannot respond to emergency communications through the Site.
4. Same-Day Service Availability (Clinic and Courier)
The Site may describe “same-day” appointment availability at our clinic and “same-day,” “STAT,” or “on-demand” pickup and delivery services for our medical courier operations. Such availability is not guaranteed. Same-day service is offered subject to availability, including provider schedules, appointment capacity, courier routing, driver availability, geographic service area, weather, traffic, specimen integrity requirements, and other operational factors. Claims on the Site describing typical turnaround times are based on our ordinary operating conditions and are not promises or warranties of performance in any individual case.
STAT and time-sensitive courier services are governed by the signed service agreement between Copergrine and the client healthcare facility. The service levels, performance metrics, remedies, and liability limitations for courier services are set forth exclusively in those written service agreements. Nothing on this Site amends, supplements, or creates any service-level obligation outside those agreements. Marketing descriptions on the Site are illustrative and do not constitute a binding service-level commitment.
5. Telehealth Disclosures
Our affiliated telehealth platform operates in compliance with Texas Occupations Code Chapter 111 and applicable Texas Medical Board rules. Telehealth services are available only to individuals physically located in Texas at the time of the encounter (or in such other states where our providers are licensed, as disclosed at telehealth.copergrine.com). A valid practitioner-patient relationship is established consistent with Tex. Occ. Code Chapter 111. Our clinicians will provide the same standard of care as in an in-person visit.
Controlled-substance prescribing. Our telehealth providers prescribe controlled substances only where permitted by law and medically appropriate, and subject to the limits of Tex. Occ. Code Chapter 111 and applicable DEA rules. Telehealth is not appropriate for all clinical needs; our providers will direct you to in-person care where indicated.
6. Weight-Loss, Hormone, Peptide, and Aesthetic Service Disclaimers
Copergrine Health & Wellness may offer weight management, hormone optimization, peptide therapy, and aesthetic services. The following disclaimers apply to any such content on the Site:
- Individual results vary. Outcomes depend on patient-specific factors and cannot be predicted or guaranteed.
- FDA-approval status. Certain compounded medications (including compounded GLP-1 products such as semaglutide or tirzepatide, and peptides such as BPC-157) are not FDA-approved drug products. Compounded medications may be provided only when clinically appropriate and consistent with federal compounding law and Texas State Board of Pharmacy rules. Compounded products have not undergone the FDA review for safety, effectiveness, and quality that applies to FDA-approved drugs.
- No guarantee of results. Consistent with 22 Tex. Admin. Code Chapter 164, Copergrine does not guarantee clinical outcomes and does not make claims that create unjustified expectations.
- Medical suitability. All such services require a medical evaluation, informed consent, and ongoing supervision by a licensed clinician.
- Not a substitute for lifestyle modification. Medical weight-management and metabolic services are most effective when combined with diet, exercise, and behavioral interventions.
Statements regarding wellness-category services on the Site have not been evaluated by the U.S. Food and Drug Administration and are not intended to diagnose, treat, cure, or prevent any disease, except where expressly stated in connection with an FDA-approved indication prescribed by a Copergrine clinician.
7. Accuracy of Information
We make reasonable efforts to ensure that information on the Site is accurate and current, but we make no representation or warranty that it is complete, accurate, reliable, current, or error-free. Information may become out of date, and clinical information in particular is continually evolving. We reserve the right to correct errors and update information at any time without notice.
8. Affiliated Properties and Third-Party Links
The Site links to affiliated properties, including health.copergrine.com, courier.copergrine.com, and telehealth.copergrine.com, each of which is governed by its own terms and notices. The Site may also link to third-party websites. We are not responsible for the content, accuracy, or practices of any third-party site. Links do not constitute endorsement.
9. User Submissions
If you submit information through a contact form, job application, or similar mechanism, you represent that: (a) you are authorized to submit the information; (b) it is accurate; (c) you have not submitted PHI for any patient other than yourself and, if submitting for yourself, you understand that the Site is not a secure channel for PHI; (d) the information is not confidential, proprietary, or privileged; and (e) you grant Copergrine a non-exclusive, royalty-free license to use the information for the purposes for which it was submitted. Do not submit PHI, sensitive health information, or any information you expect to be kept confidential through the marketing Site. Use our patient portal or call us directly.
10. Intellectual Property
All content on the Site, including text, graphics, logos, photographs, videos, and software, is owned by or licensed to Copergrine and is protected by U.S. and international copyright, trademark, and other intellectual-property laws. “Copergrine,” the Copergrine logo, and related marks are trademarks of Copergrine LLC. You may view and print pages for personal, non-commercial use. Any other use requires our prior written consent.
11. Prohibited Uses
You agree not to:
- Use the Site for any unlawful purpose;
- Attempt to gain unauthorized access to any portion of the Site or its underlying systems;
- Interfere with or disrupt the Site;
- Reverse engineer or scrape the Site except as expressly permitted;
- Use the Site to transmit malware, spam, or harassing material;
- Impersonate any person or misrepresent your affiliation; or
- Collect or harvest information about other users.
12. Disclaimer of Warranties
THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES DESCRIBED ON THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, COPERGRINE DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. COPERGRINE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY INFORMATION ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COPERGRINE OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF COPERGRINE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE AGGREGATE LIABILITY OF COPERGRINE ARISING OUT OF OR RELATING TO THE SITE SHALL NOT EXCEED THE MAXIMUM EXTENT PERMITTED BY LAW.
IMPORTANT CARVEOUT — PROFESSIONAL MEDICAL LIABILITY PRESERVED. NOTHING IN THESE TERMS LIMITS, WAIVES, OR RELEASES ANY CLAIM FOR MEDICAL NEGLIGENCE, HEALTH CARE LIABILITY, OR OTHER PROFESSIONAL LIABILITY ARISING FROM THE PROVISION OF CLINICAL SERVICES BY A LICENSED HEALTH CARE PROVIDER. ANY SUCH CLAIM IS GOVERNED BY TEXAS CIVIL PRACTICE AND REMEDIES CODE CHAPTER 74 AND OTHER APPLICABLE LAW, AND THESE TERMS DO NOT MODIFY THE RIGHTS AND OBLIGATIONS OF PATIENTS OR PROVIDERS UNDER THAT CHAPTER.
14. Indemnification
You agree to defend, indemnify, and hold harmless Copergrine and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with (a) your access to or use of the Site; (b) your violation of these Terms; or (c) your violation of any right of another, including intellectual-property or privacy rights.
15. DMCA Notice and Designated Agent
Copergrine respects the intellectual-property rights of others. If you believe that material on the Site infringes your copyright, please provide a written notice to our DMCA agent containing the information required by 17 U.S.C. §512(c)(3):

17. Governing Law
These Terms and any dispute arising out of or relating to them or the Site shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-laws rules.
18. Exclusive Venue
Any action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction and venue of such courts.
19. No Arbitration
These Terms do not require arbitration of disputes.The parties expressly elect Texas courts as the exclusive forum for disputes. Nothing in these Terms shall be construed as a pre-dispute agreement to arbitrate any health care liability claim or other claim, and any such waiver would in any event be subject to the requirements of Tex. Civ. Prac. & Rem. Code §74.451.
20. Severability
If any provision of these Terms is held invalid or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.
21. No Waiver
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
22. Entire Agreement
These Terms, together with our Privacy Policy and, where applicable, our Notice of Privacy Practices, constitute the entire agreement between you and Copergrine regarding the Site.
23. Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in our sole discretion, including in connection with a merger, acquisition, or sale of assets.
24. Electronic Communications Consent
By using the Site and providing your contact information, you consent to receive electronic communications from Copergrine related to your inquiry, and you agree that such electronic communications satisfy any legal requirement that a communication be in writing.
25. Telehealth Platform Pricing and Billing
If you subscribe to the Copergrine Telehealth EMR platform (“Platform”) as a licensed provider, the following terms apply in addition to all other provisions of these Terms:
- Subscription fee: $229 per provider per month. This fee includes full access to the Platform for up to 10 providers per clinic entity. No per-feature upgrades, per-visit fees, or clearinghouse surcharges apply.
- Setup fee: A one-time $499 onboarding fee covers data migration assistance and provider credentialing support. This fee is waived in full if you prepay annually ($2,290 per provider per year, equivalent to two months free).
- Provider cap: Subscriptions are priced for up to 10 providers per clinic entity. Organizations requiring more than 10 providers will receive a custom Enterprise quote. No overage fees are charged mid-billing-period.
- Patient revenue: Copergrine does not collect, hold, or process patient payments on your behalf. You connect your own Stripe account (or equivalent payment processor), and patient revenue flows directly to you.
- Billing cycle: Monthly subscriptions are billed on the calendar-month anniversary of your start date. Annual prepayments are billed once per year. All payments are processed via Stripe.
- Cancellation: You may cancel at any time with 30 days written notice. Monthly subscribers owe through the end of the current billing period. Annual prepayment subscribers receive a prorated refund for unused full months remaining.
- Data portability: Upon cancellation, you may export all patient data in CCDA, CSV, or PDF format at no charge. We do not impose extraction fees or proprietary lock-in.
- Price changes: We may adjust subscription pricing with 90 days written notice. Existing subscribers on annual prepayment are grandfathered at their contracted rate until their next renewal date.
26. Changes to These Terms
We may modify these Terms from time to time. Material changes will be indicated by updating the Effective Date above. Your continued use of the Site after such changes constitutes acceptance of the revised Terms.
